These Terms of Service (“Terms”) govern your access to and use of Syncwright, a Shopify application operated by Avocado Blvd LLC, trading as Outside Projects (“Syncwright”, “we”, “us”). Please read them carefully. They are meant to be reasonable and readable.
Acceptance of these terms
By installing or using Syncwright, you agree to these Terms on behalf of the business that operates the connected store. If you do not agree, do not install or use the app. If you are accepting on behalf of a business, you confirm you are authorized to bind that business.
The service
Syncwright is a multi-tenant application that synchronizes product, inventory, order, and customer data between Lightspeed Retail R-Series and Shopify. It matches records, keeps inventory in step to help prevent overselling, pushes Shopify orders back to Lightspeed as sales, and offers optional catalog features such as variant grouping, smart collections, and image enrichment. Features and behavior are described on our marketing site and in the help center, which are provided for information and do not form part of a guarantee.
Accounts and eligibility
To use Syncwright you must:
- Operate an active Shopify store and be able to install apps on it;
- Have a Lightspeed Retail R-Series account you are authorized to connect;
- Be able to form a binding contract and not be barred from using the service under applicable law.
You are responsible for maintaining the security of your Shopify and Lightspeed accounts and for all activity that happens through your connection to Syncwright.
Your responsibilities
- You are responsible for the accuracy of the data in your Lightspeed and Shopify accounts, and for reviewing the changes Syncwright proposes before approving them where approval is offered.
- You are the controller of your customers' personal information. You are responsible for having a lawful basis to process it and for your own privacy notices to your customers.
- You will use Syncwright in line with our Acceptable Use Policy, and with Shopify's and Lightspeed's terms and API rules.
- You will keep your billing in good standing through Shopify.
Acceptable use
Your use of Syncwright is subject to our Acceptable Use Policy, which is incorporated into these Terms. In short: no illegal use, no attempts to reverse engineer or abuse the service or its APIs, no attempts to access another tenant's data, and no reselling of the service without our written agreement.
Fees and billing
Syncwright is a one-time purchase of $999 per store, with every register and location included. The purchase includes ongoing software updates and email support; there is no subscription and no recurring platform fee. AI image enrichment is metered separately and billed only for images you approve. We invoice you directly and payment is processed by our payment provider; card details are handled by that provider, not stored by Syncwright. Fees are stated in US dollars and are exclusive of applicable taxes.
You can uninstall the app at any time. Because the purchase is one-time, uninstalling does not trigger any future charge. Refund details, including the 30-day fit guarantee, are in our Refund & Cancellation Policy.
Data and privacy
Our handling of data is described in our Privacy Policy, and our obligations as your data processor are set out in our Data Processing Addendum, which forms part of these Terms when Syncwright processes personal information on your behalf.
No warranty
Syncwright is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error free, or that it will prevent every instance of overselling or data mismatch. Syncwright depends on third-party platforms (Shopify and Lightspeed) whose availability, rate limits, and behavior are outside our control.
Limitation of liability
To the fullest extent permitted by law, Syncwright will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to your use of the service. Our total aggregate liability for any claim relating to the service will not exceed the amount you paid us for Syncwright in the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
Indemnity
You agree to indemnify and hold harmless Syncwright and Outside Projects from claims, damages, and reasonable costs arising from your misuse of the service, your violation of these Terms or the Acceptable Use Policy, or your infringement of a third party's rights, including claims relating to the customer data you instruct us to process.
Term and termination
These Terms apply while Syncwright is installed on your store. You may terminate at any time by
uninstalling the app. We may suspend or terminate access if you materially breach these Terms or the
Acceptable Use Policy, fail to pay, or use the service in a way that risks harm to other merchants
or the platforms we depend on. On termination we delete your data as described in our
Privacy Policy: uninstalling triggers Shopify's
shop/redact flow, which removes your store's data and stored credentials.
Changes to the service or terms
We may update the service and these Terms over time. When we make material changes to these Terms, we will update the effective date on this page and, where appropriate, notify merchants through the app or by email. Continuing to use Syncwright after a change means you accept the updated Terms.
Governing law
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules, and the courts of that jurisdiction will have exclusive jurisdiction over disputes, except where mandatory local law gives you other rights.
